Corporate Governance

The Group’s corporate governance is aimed clearly to establish division of responsibilities at the head of the Group, which provides for a balance of power and authority, so that no individual has unfettered powers of decision.

The President of the Group heads the Advisory Board and oversees external communications with large investors and government, presenting the Group’s public face. The Group’s Chief Operating Officer attends to executive and operational aspects – coordinating the work of other executive managers (including the division’s executives) and running the Group internally.

The corporate governance framework is designed to ensure that timely and accurate disclosure is made on all material matters regarding the Group, including the financial situation, performance, ownership and governance of the Group. 

The Group’s management team gives much attention to promoting transparency and information disclosure standards throughout the Group in a belief that partners' and investors' confidence is critical to succeeding in business. The Group has reported its annual consolidated financial statements under US GAAP since 1998, with Ernst & Young as the Group's auditor. Further, management of the Group prepares quarterly financial statements based on US GAAP.  The Group invited independent directors to sit on its Advisory Board.

Management of the Group is able to leverage the strengths in different divisions to develop and grow its business and to benefit from cross-selling opportunities.

The Group adheres to the highest quality standards, including vendor certification of professionals and internal quality systems. Some of the Group’s quality systems are certified according to international quality standards. We belive that our ability to demonstrate commitment to quality is an increasingly important source of competitive advantage when it comes to winning contracts for high profile projects and maximising value for customers and shareholders.
